Welcome to RoomTimers! These Terms of Service ("Terms") govern your access to and use of the RoomTimers service. By using RoomTimers, you agree to these Terms.

1. Agreement to Terms

By creating an account or using RoomTimers, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the service.

- You must be at least 18 years old to use RoomTimers

- You must provide accurate information when creating an account

- You are responsible for maintaining the security of your account

2. Description of Service

RoomTimers is a cloud-based room management and timer tracking system designed for healthcare practices and similar organizations.

2.1 What We Provide

- Real-time timer tracking across multiple devices

- Multi-room management capabilities

- Multi-provider support

- Customizable room and provider names

- Automatic synchronization across all devices

2.2 Beta Service

RoomTimers is currently in beta. While we strive for reliability, you acknowledge that:

- Features may change or be added/removed

- The service may have occasional bugs or issues

- Early adopters may receive special pricing (locked in for life)

- We welcome and encourage your feedback

3. Account Registration

3.1 Creating an Account

- You must provide accurate and complete information

- You must maintain and update your account information

- You are responsible for all activity under your account

- You must keep your password secure and confidential

3.2 Account Security

- Notify us immediately of any unauthorized use

- We are not liable for losses from unauthorized account access

- You may not share your account with others

- You may not create multiple accounts to abuse free trials

4. Acceptable Use

4.1 You May

- Use RoomTimers for its intended purpose (room/timer management)

- Customize room names, provider names, and settings

- Access the service from multiple devices

- Use the service for multiple locations (with appropriate subscription)

4.2 You May Not

- Use the service for any illegal purpose

- Attempt to gain unauthorized access to our systems

- Interfere with or disrupt the service

- Use automated systems to access the service without permission

- Reverse engineer, decompile, or disassemble the service

- Resell or redistribute the service without authorization

- Store Protected Health Information (PHI) in the service

5. Pricing and Payment

5.1 Free Trial

- 30-day free trial available for new accounts

- No credit card required for trial

- Full access to all features during trial

- Trial automatically ends after 30 days (no automatic billing)

5.2 Paid Subscription

- Pricing Model: Per room, per month

- Billing occurs monthly on your subscription date

- All fees are in US Dollars (USD)

- Prices subject to change with 30 days notice

5.3 Payment Terms

- Payment is processed through secure third-party payment processors

- We do not store credit card information

- Failed payments may result in service suspension

- Refunds available within 14 days of purchase (pro-rated)

5.4 Taxes

- Prices do not include applicable taxes

- You are responsible for all sales, use, and excise taxes

6. Subscription and Cancellation

6.1 Subscription Management

- Add or remove rooms at any time

- Changes take effect on next billing cycle

- Downgrade to fewer rooms available anytime

- No long-term contracts required

6.2 Cancellation

- Cancel anytime from your account settings

- Access continues until end of current billing period

- No refund for unused portion of current month

- Data retained for 30 days after cancellation

7. Data and Privacy

7.1 Your Data

- You retain all rights to your data

- You are responsible for the accuracy of your data

- You grant us license to use your data to provide the service

- We do not claim ownership of your data

7.2 Data Backup

- We perform regular automated backups

- You should maintain your own backups

- We are not liable for data loss (see Section 10)

7.3 Data Export

- Export your data at any time in portable formats

- Data available for 30 days after account cancellation

7.4 Privacy

- We do not sell your personal information

- We use industry-standard security practices

8. Intellectual Property

8.1 Our Rights

- RoomTimers, including all software, design, and content, is our property

- Protected by copyright, trademark, and other intellectual property laws

- You receive a limited license to use the service (not ownership)

8.2 Your Rights

- You retain ownership of any data you input

- No ownership rights are transferred to us

8.3 Feedback

- Any feedback, suggestions, or ideas you provide become our property

- We may use feedback to improve RoomTimers without compensation

9. Service Availability

9.1 Uptime Guarantee

- 99.9% uptime guarantee (excludes scheduled maintenance)

- Scheduled maintenance announced 48 hours in advance

- Emergency maintenance may occur without notice

9.2 Service Modifications

- We may modify, suspend, or discontinue features at any time

- We will provide notice of significant changes when possible

- No refunds for discontinued features

10. Warranties and Disclaimers

10.1 Service Provided "AS IS"

RoomTimers is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

- Warranties of merchantability

- Fitness for a particular purpose

- Non-infringement

- Uninterrupted or error-free operation

10.2 No Medical Advice

- RoomTimers is a timer management tool only

- It does not provide medical advice, diagnosis, or treatment

- It is not a substitute for professional medical judgment

- Users are responsible for all medical decisions

10.3 Beta Disclaimer

- As a beta service, features may not work as expected

- We are actively improving and refining the service

- Your participation helps us build a better product

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 No Liability For

- Indirect, incidental, special, consequential, or punitive damages

- Loss of profits, revenue, data, or business opportunities

- Service interruptions or data loss

- Third-party actions or content

11.2 Maximum Liability

Our total liability to you for any claims related to RoomTimers is limited to the amount you paid us in the 12 months preceding the claim (or $100 if no payments made).

11.3 Exceptions

Some jurisdictions do not allow certain limitations, so these may not apply to you.

12. Indemnification

You agree to indemnify and hold RoomTimers, its affiliates, and personnel harmless from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

- Your use of the service

- Your violation of these Terms

- Your violation of any rights of another party

- Your violation of any applicable laws

13. Termination

13.1 Termination by You

- Cancel your account anytime from settings

- Access continues until end of billing period

- Data retained for 30 days for recovery

13.2 Termination by Us

We may suspend or terminate your account if:

- You violate these Terms

- Your payment fails repeatedly

- Your use threatens the security or integrity of the service

- Required by law

13.3 Effect of Termination

- Your license to use RoomTimers ends immediately

- We may delete your data after 30 days

- Sections that should survive termination remain in effect

14. HIPAA Compliance

IMPORTANT NOTICE:

14.1 Standard Service

- RoomTimers is NOT HIPAA-compliant in standard form

- Do NOT enter Protected Health Information (PHI)

- Do NOT use patient names, medical record numbers, or identifiers

- Use generic room names and provider names only

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles.

15.2 Informal Resolution

Before filing a claim, contact us at legal@roomtimers.com to attempt informal resolution.

15.3 Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except:

- Small claims court actions

- Injunctive or equitable relief

15.4 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

16. General Provisions

16.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and RoomTimers.

16.2 Modifications

We may modify these Terms at any time. We will notify you of material changes via:

- Email notification

- In-app notification

- Website notice

Continued use after changes constitutes acceptance.

16.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

16.4 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

16.5 Assignment

You may not assign these Terms. We may assign them with notice to you.
